The job to be done

Nonprofit boards steward mission, money, and public trust — often with volunteer directors, lean staff, and IRS Form 990 questions that ask whether you actually have policies and document meetings. You need software that makes compliance and care feel operational, not ceremonial.

Why shared Drive and email fail nonprofits

Volunteer boards inherit tools built for something else. The failure modes are predictable:

  1. Form 990 Part VI asks about the governing body, policies, and documentation — answers should match reality, not aspiration.
  2. Conflict of interest policies exist as PDFs nobody re-attests annually.
  3. Donor and personnel packs leak into the wrong folder or personal inbox.
  4. ED evaluation happens in a side channel with no durable, confidential record.
  5. Action items from retreats vanish until the next crisis or auditor request.
  6. Onboarding new directors means forwarding a year of email.

Nonprofit board software should reduce secretary burden while raising the floor on duty of care, loyalty, and (in nonprofit framing) obedience to mission and charitable purpose.


Who sees what

Confidentiality levels (open, board, committee, executive session, counsel), per-document grants, and per-recipient watermarked magic links you can expire or revoke (there is no device-based access control today). Executive-session materials are hidden from the Executive Director (CEO role) and observers by default, so donor, personnel, and ED-evaluation materials can sit in a pack without reaching the wrong reader. Offboarding a director clears their document grants on that board; offboarding also revokes that person's outstanding magic-link pack links on that board when a term ends mid-cycle.

Stated limits

  • There is no separate nonprofit edition; Nonprofit is a board type with defaults.
  • Prepared does not prepare, review, or file the Form 990, does not read your bylaws or prior 990, and does not answer Part VI questions for you.
  • There is no Form 990 Part VI checklist module and no separate 990 review workflow; board review is recorded through the agenda, minutes, and decisions.
  • There is no donor database or CRM connection; donor materials are pack documents with confidentiality levels and grants.
  • Acknowledgments and attestations are in-app records, not e-signatures; there is no DocuSign or other third-party e-signature connection.
  • Sign-in today is email and password; passkeys and SSO are not production-live.
  • Confidentiality levels and the privileged flag control who sees a document in Prepared; they do not create legal privilege. Not legal advice.

Jobs to be done by role

Board chair

Run meetings that decide, not only receive reports. See who opened the pack and which directors still owe a COI attestation or policy acknowledgment. Protect executive session for ED evaluation and sensitive personnel matters. Keep the mission visible when hard tradeoffs arise.

Executive director / CEO

Deliver decision-ready materials without drowning directors in operational minutiae. Separate Inform updates from Decide asks. Know that executive-session materials, including your own evaluation inputs, are hidden from your seat by default. Leave with clear board guidance, not ambiguous “sense of the room” folklore.

Board secretary / governance officer

Produce contemporaneous minutes. Track COI attestations and policy acknowledgments ahead of 990 season. Onboard new directors with a checklist. Hand auditors, attorneys general, or successor leadership a metadata export of the record, with the files downloaded separately.

Finance, audit, and governance committees

Review financials and 990 drafts as committee-level pack documents. Document related-party and compensation oversight with conflict disclosures and recusals on the decision. Carry recommendations to the full board with a clean paper trail.


Wedge: from bylaws and last 990 to a working board

  1. Create your nonprofit board, pick Nonprofit, and invite officers and committee chairs.
  2. Upload bylaws and the prior Form 990 as board documents, and adjust the preset to match your bylaws.
  3. Compare Part VI themes (meetings documented, COI policy, whistleblower policy, retention policy, board review of the 990) against what your board actually does; you do this review, Prepared does not score it.
  4. Turn each gap into an owned action with a due date, and switch on the annual COI attestation and policy acknowledgments.
  5. Publish the next board pack; Prep Score gives the meeting a 0–100 readiness number, and read receipts show which directors have opened it.

Worth tracking for your own board: annual attestation completion and whether the 990 review is in the minutes before filing. These are goals for your board, not measured Prepared results.

What “Form 990 ready” means in the product

Form 990 is not a software feature checkbox — it is a mirror. Schedules and Part VI questions ask whether the organization has a conflict policy, whether the board reviewed the Form, whether meetings are documented, and whether certain governance policies exist. Prepared Board does not file your 990 for you. It makes the underlying behaviors — attestations, acknowledgments, policy documents, review on the agenda, and meeting records — easy enough that your answers stay true under scrutiny.

Boards that treat the 990 as an annual scramble usually discover the same root cause: governance artifacts lived in email. Boards that treat the 990 as a boring confirmation usually already run a lightweight operating system for meetings, policies, and decisions. That is the nonprofit job we optimize for.
