Beta terms — under counsel review. Prepared Board is an invite-only beta. These terms describe how the beta works today. They have not yet been reviewed by counsel and will be replaced before general availability; we will notify account holders when they change.

1. Agreement
These terms govern your use of the Prepared Board website and application (the "Service"). By creating an account, requesting a pilot, or using the Service, you agree to them. If you use the Service for an organization, you confirm you are authorized to accept these terms for it, and "you" includes that organization.
2. Invite-only beta
The Service is a beta. Access is by invitation, features may change or be removed, and the Service may have errors or downtime. During a pilot, the first meeting cycle is free; any paid plan will be agreed with you in writing before you are charged.
3. What Prepared Board is — and is not
Prepared Board helps boards prepare meetings, record decisions, votes, recusals and minutes, and track follow-through. It is a workflow and record-keeping tool. It does not provide legal, accounting, fiduciary, investment, or compliance advice, and using it does not by itself satisfy any legal duty.
4. Accounts
Keep your account information accurate and your credentials private. You are responsible for activity under your account. Tell us promptly at privacy@preparedboard.com if you suspect unauthorized access. Board administrators control who is invited and what each member can see.
5. Your content
You and your organization own the content you put into the Service ("Customer Content"). You give us the limited rights needed to host, process, back up, display, and transmit it to provide the Service to you. We do not use Customer Content to train AI models. You are responsible for having the rights to the content you upload.
You can export at any time: the full record of decisions, votes, minutes, actions and document details; uploaded files download separately.
6. Acceptable use
Do not use the Service to break the law or anyone's rights; upload malware or unlawful content; try to gain unauthorized access to or disrupt the Service; or resell or copy the Service.
7. Confidentiality
We treat Customer Content as confidential and use it only to provide the Service, except where disclosure is required by law.
8. Service providers
We run the Service on Vercel (hosting and file storage), Neon (database), and Resend (email). Our Privacy Policy explains how information is handled.
9. Ownership and feedback
We keep all rights in the Service itself. If you send feedback, we may use it without obligation to you.
10. Disclaimers
The beta Service is provided "as is" and "as available." To the extent the law allows, we disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, and we do not promise the Service will be uninterrupted or error-free. Keep your own copies of important records; export is available at any time.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data, and our total liability is limited to the amount you paid us for the Service in the twelve months before the claim (which is zero during a free pilot cycle).
12. Ending use
You can stop using the Service at any time and export your record first. We may suspend access for security, legal, or abuse reasons, with notice where practical. On request, we delete your board's content as described in the Privacy Policy.
13. Changes
We will post changes here, update the dates above, and email account holders about material changes.
14. Governing law
These beta terms do not yet choose a governing law or venue; that will be set in the counsel-reviewed terms that replace them.
