Chambers are member-serving nonprofits (usually)
Most chambers of commerce and similar local business associations are nonprofit membership organizations. The board owes fiduciary duties to the organization’s mission, not to any single member’s commercial interest. That tension — promoting the business community while avoiding favoritism and antitrust risk — defines chamber governance.
This is practice guidance, not legal advice. Bylaws, state nonprofit law, antitrust counsel, and Form 990 expectations (where applicable) control.
The questions chairs actually search
- How do we handle a director whose firm sponsors the festival we are budgeting?
- What belongs on the consent agenda vs. full debate?
- How do we approve minutes and keep evidence that dues or event policies published to members?
- How do we count quorum for a volunteer board?
- Where is the pack so directors stop living in email?
Core governance stack

Sponsor and member-favoritism recusals
Directors must not steer chamber contracts, sponsorships, or endorsements to their firms without disclosure and recusal.
Practice
- Disclose the sponsorship or vendor interest before the budget or RFP vote.
- Name the director and the interest in the decision record.
- Recuse from debate and vote per policy (often leave the room).
- Keep sponsorship prospectuses transparent so the rest of the board can see the same numbers.

Antitrust red flags (train every director)
Association meetings can become forums for improper competitor coordination. Prohibit discussion of current/future prices, discounts, bid strategies, market allocation, group boycotts, and sensitive competitive cost structures. Have an antitrust policy; agenda discipline; minutes that show proper purpose. If discussion veers, the chair stops it.

Consent agenda and event budgets
Use consent for routine acceptances (prior minutes, committee reports, non-controversial acceptances). Pull any item a director wants debated — especially public-policy positions and large sponsorship packages.
Festival and dues budgets usually deserve full Decide time: revenue mix, reserves, and member fairness are judgment calls.
Minutes, closed decisions, evidence
Approve minutes on purpose. When a dues schedule or event policy closes, keep evidence that members were notified (email blast PDF, website screenshot, newsletter) as board copies. That is not a live membership-CRM or bank connection — Prepared does not move money or show a live balance, and outbound email in the demo is not claimed without a configured provider 2xx.
Quorum as a seat count
Mark Present / Remote. Compare to seats required in board settings. Label the result a count, not a legal opinion. If attendance is unmarked, say the count is not available yet. Prepared does not implement ASPA.

- Public policy positions require advance materials and careful minutes

Chambers that file Form 990 or 990-EZ still need a board copy review before counsel or the ED transmits anything.
