Quality as a board object — what that means
In Prepared Board, a quality indicator can be an outcome monitor on a Decide item, with the resolution and follow-up actions on the same record. The board’s oversight duty becomes visible in the same lifecycle as financing and strategy votes. That is the opposite of “quality committee notes attached as Appendix R.”
Peer-review material gets its friction from document levels, not a separate room: Committee level for the Quality committee, Executive session or Counsel level for case-level notes, and per-director grants when fewer people should see a file. That is a different posture from the open-meeting packs used in school board contexts. Hospitals are not public school boards, so you set the level on each document rather than relying on one default.
Multi-entity and clinical JVs
Health systems frequently include local hospital boards, foundation boards, and clinical joint ventures. Running each entity as its own board helps keep parent strategy aligned without leaking subsidiary packs or ignoring fiduciary lines. For a two-parent clinical JV, record parity and deadlock procedures as reserved matters and decisions; there is no clinical JV quality overlay, parity voting mode, or antitrust information-sharing gate in Prepared today, so keep counsel's information-sharing rules in the pack and restrict documents per committee or director.
