Why Portfolio Boards Need a Decision OS

The multi-board blindness problem
A partner who sits on five portfolio boards — or advises a fund that has twenty — cannot answer a simple diligence question from memory: Across the companies I touch, which material decisions closed with evidence, who recused, what monitors are overdue, and which boards still owe COI?
Email threads, shared drives, and a PDF board book were built for one meeting at a time. They were not built for decision quality across a portfolio. When an LPAC, a secondary buyer, or an internal IC asks for the record, the scramble begins: find the deck, find the minutes, find the term sheet, hope the recusal made it into prose. That is not governance visibility. That is archaeology.

Decision OS versus document portal
A document portal stores the book. It is useful. It is also incomplete for investors. The artifact that matters after the gavel is not the PDF that entered the room — it is the decision record: motion, vote, named RECUSED directors, closure evidence, follow-through monitors, and an export that leaves with the organization.
A decision OS is the system of record for that lifecycle. In Prepared Board today (per Facts):
- Decide — meetings, motions, votes, minutes, written consents (in-app records, not DocuSign).
- Prove — certified outcomes, named recusals, evidence on the decision, reserved-matter tags when configured.
- Chase — Board Go, pack read-through, COI/onboarding owing, consent and minutes chase (copy text; nothing emailed).
- Roll up — Portfolio across boards where you hold an ACTIVE membership.
- Share without a seat — chair-granted sponsor proof links.
- Leave — full-record ZIP from
/app/export(Leaving Prepared).

Honest not-live paragraph
Do not invent what is still not production-live. Prepared Board does not ship SSO, SCIM, or WebAuthn passkeys as production-live identity. There is no live billing checkout, no bank or treasury connection, no live filing feed, no computed cross-board “target met” outcome scores, no outbound email provider in the demo path, no MCP server or agent identity, no BYOK, and no third-party eSign certificate (DocuSign / Adobe Sign). Quorum is a seat count, not ASPA. Sponsors on proof links never get the board book or a vote. Full list: Facts and Capabilities — still not live.
