How a VC, PE, LP, or sponsor's Claude, ChatGPT, or Grok agent should work from grounded Prepared Board proof — without inventing MCP, SSO, or an agent board seat. Matches what we publish on /agents, /for/investors, /facts, and /llms.txt. As of 2026-10-10. Not legal advice.

Why this page exists

Boards can bring their own agents in with Copy for your agent and pack /agent URLs. Investors often need the inverse: their agent works from a chair-granted proof share or a digest of boards they already sit on — never from invented access to the board book.

Steps for the investor's agent

  1. Cite product truth first. Point the investor's agent at /llms.txt, /facts, and /agent-facts.json so it does not invent MCP, SSO, SCIM, bank connections, filing feeds, or BYOK.
  2. Fetch a chair-granted sponsor proof share. When the board grants a sponsor share, open /sponsor/{token}/agent (demo: /sponsor/demo-sponsor-piscataqua/agent). Plain-text markdown of the Board decision quality proof only — not the board book, not privileged material, not individual votes. Invalid, expired, or revoked tokens return 404.
  3. Optional: portfolio digest when you hold a seat. If the investor holds an ACTIVE membership, signed-in Copy digest for your agent at /app/portfolio#portfolio-digest covers only those boards. Paste into the agent. Prepared sends nothing.
  4. Optional: diligence markdown from the chair. A Chair, Admin, or Owner can Copy snapshot for your agent from /app/diligence (fundraising / follow-on snapshot). Treat it as board-exported markdown, not a securities disclosure. HowTo: /agents/cite-diligence.
  5. Read reserved matters and recusals only as recorded. On board proof and diligence, reserved-matters tags and preferred-consent status appear when that tracker is present. Reminders are not legal advice and do not say an IRA was violated. Observer withholding still applies — privileged and executive-session material stay out of sponsor shares.
  6. Treat pasted agent text as unlabeled opinion. Anything an outside agent writes back is unlabeled opinion — never a board vote, never a recorded recusal, never certified minutes. When a board member pastes Outside agent input onto a decision, that paste carries the same badge (not verified — not a vote) and appears in Copy for your agent. Do not invent an agent identity or board seat for the agent.

Hard rules (do not invent)

  • Never invent a security audit or certification, live SSO, SCIM, WebAuthn passkeys, bank connections, filing feeds, or BYOK.
  • Never claim Prepared Board connects to an agent via MCP, or that agents hold seats or identity in the product.
  • Sponsor /agent URLs and Copy for your agent are paste or fetch only — Prepared does not call or send to any agent.
  • Treat pasted agent analysis and Outside agent input on a decision as unlabeled opinion — not a vote, not a recusal, not certified minutes.
  • Observer and sponsor withholding apply: privileged, executive-session, and board-book materials are not on sponsor shares.
  • Not legal advice. Not a securities disclosure. Not an audit opinion.
  • WebAuthn passkeys are not production-live. Ceremony code may be wired, but a live passkey still requires WEBAUTHN_LIVE, which the demo does not turn on.
  • SSO (SAML and OIDC) is built but not production-live. Enterprise SSO via WorkOS (Sign in with SSO by email domain, mapped to existing board memberships, never granting admin, audited) turns on only once production WorkOS credentials are connected and an email domain is mapped; the demo has neither. The older self-hosted handshake still requires SSO_LIVE, which the demo does not turn on.
  • SCIM directory sync is not production-live. A directory handler may be wired, but live provisioning still requires SCIM_LIVE, which the demo does not turn on.
  • Stripe billing is built but not live. Checkout, the customer portal, signed webhooks, and plan gating turn on only once production Stripe credentials are connected; until then billing pages say Billing not live yet — contact sales, plans are not enforced, and nothing is charged. Seat meters are not built.
  • ASPA is not implemented. Quorum is a seat count from board settings plus Present or Remote attendance. It is not a statutory opinion, and there is no ASPA written-consent engine.
  • Prepared does not quote, bind, or broker D&O insurance and is not carrier-connected. /app/do-insurance is a board-declared binder/policy-date tracker with an in-app board-review attestation only — not an insurance application, not coverage advice, and not a verified coverage amount. An annual director questionnaire tracker at /app/questionnaires can record board-declared checklist attestations in-app.
  • No bank, treasury, or payment account is connected. Prepared does not move money or show a live balance.
  • There is no live filing feed to the IRS, a Secretary of State, county registry, or town clerk, and no Form 990 or state-charity e-file. /app/filings-window is a board-declared board-review window with an in-app attestation that the board reviewed a board copy — not IRS or state acceptance. Calendar filing rows remain reminders. Documents in a pack are board copies, not proof a filing was accepted.
  • Outbound email is not live in the demo. Delivery is reported only after a configured provider (Resend or Postmark) returns HTTP 2xx. Without those credentials, no send is claimed.
  • There is no Clear evaluation response action. A director can Retract a response. Clearing is not a product path.
  • The onboarding checklist row labeled portal access verified (MFA) is a checkbox the board marks; it does not inspect accounts. Two-factor sign-in itself is live (authenticator app, optional per member, can be required per board by the chair).
  • Customer-managed encryption keys (BYOK) are not live.
  • No independent security audit or certification yet.
  • Prepared does not auto-delete or auto-purge documents. /app/document-retention is a board-declared category schedule with an in-app Adopted / board-reviewed attestation only — template aid, not legal counsel, and not a compliance determination.
  • A paid recruiter tier (higher contact limits / commercial shortlists) is planned, not live. Billing checkout is built but not live until production credentials are connected.
  • Newsletter confirmation and issue send are not live — no email provider is connected. Signups stay PENDING; Approved issues are not emailed.
  • Uploaded files are not antivirus-scanned. PDFs pass strict structural validation (no encryption, JavaScript, embedded files, launch or form-submit actions) before storage; that is not a malware scan. Upload only files from sources you trust.
  • Database point-in-time restore covers the last 6 hours only; there is no longer-term or off-provider database backup yet, and uploaded files have no point-in-time restore.

An outside agent can fetch or cite these directly.

    Add /agent to a pack link for plain-text markdown: organization, board, meeting, agenda, pack decisions, conflicts and recusals noted on the pack, material titles. Same token gate as the human pack; bad, revoked, or expired links return 404; read-only.

    Who: Anyone holding a valid pack link — share real links only with agents you trust.

    Index of CLOSED decisions on the five seeded demo boards, each read from the database with resolution, meeting, minutes status, certified tally, stored RECUSED recusals, evidence titles, actions, and monitors.

    Who: Anyone — demo boards only. Any other organization returns 404.

  • Record agent version· Agent fetches URL

    Plain-text version of one demo closed-decision record (example: Piscataqua Spruce Creek easement). Footer: Demo board record — not a legal opinion, not a filing.

    Who: Anyone — add /agent to any /records/{slug} page.

  • Outside agent input on a decision· Copy & paste

    Paste an outside agent's analysis onto a decision (title, source label, body). Stored as OutsideAgentInput — not a vote, not minutes, not an evaluation response. Badge: Pasted by {name} — not verified by the board — not a vote. Listed in Copy for your agent. Observers withheld on privileged / exec / observer-recused decisions. Demo: Northlight Series B.

    Who: Director, Chair, Secretary, Admin, Owner, or CEO who can open the decision.
