The job to be done
Labor union executive boards (and equivalent governing bodies under a local or national constitution) sit at the intersection of member democracy, fiduciary stewardship of dues, and strategic oversight of bargaining and organizing. Officers prepare for monthly or quarterly meetings while conventions, elections, and contract campaigns impose seasonal surges. Bargaining parameters, strike-authorization discussions, and grievance-adjacent matters often require confidential executive session — yet members still expect transparent financial controls, fair election process, and minutes that hold up under scrutiny.
Prepared runs union executive boards on the same board OS every board uses — there is no separate union edition, union board type, union preset, or union template today. What it gives an executive board is the decision record: packs, Decide items, conflict recusals, access levels for sealed material, committees, action items with closure evidence, and an exportable record. The posture is simple: member-first union board operations — documented and democratic.
Important: Union constitutions, bylaws, collective-bargaining statutes, and federal frameworks such as the Labor-Management Reporting and Disclosure Act (LMRDA) are legal and internal-governance regimes. Prepared Board is governance software, not counsel, not a substitute for your constitution’s election committee, and not a determination of what must be filed with any agency. Prepared is not a DOL or LM filing tool. Use the product to operationalize the process your constitution and advisors already require.
Why generic board portals underserve union executive boards
Corporate board portals optimize for investor secrecy and MNPI walls. Association portals often optimize for open member newsletters. Union executive boards need both democratic transparency where the constitution expects it and hard walls where bargaining strategy or personnel-sensitive matters must stay sealed:
- Member democracy — nominations, elections, convention credentials, and referendum rhythms are not optional theater; they are legitimacy.
- Confidential bargaining — proposals, cost models, and strike contingency discussion must not leak into a general member packet or casual email forward.
- Steward vs officer roles — stewards and business agents carry workplace representation duties that are not the same as fiduciary officer seats on the executive board; software that collapses everyone into “director” creates confusion and access mistakes.
- Dues stewardship — budgets, per-capita, strike funds, and political spending (where applicable) need Decide items with clear asks and recorded rationale — not spreadsheet folklore.
- Recordkeeping culture — members, auditors, and (where applicable) agency reviewers expect findable minutes, officer rosters, and financial reports; archaeology through personal inboxes fails under pressure.
- Federation and local hierarchy — many unions nest locals under councils or internationals; each body needs its own record without one giant flat folder.
Union board software should make the decision record easy to keep current and keep bargaining material at an access level that observers and guests cannot open.
What Prepared is for a union executive board
Core OS
Meetings, agendas, packs, minutes, resolutions, actions, roles, and an append-only activity log — still a decision lifecycle OS, not a membership CMS, an election system, or grievance ticketing system. Presidents and chairs run Decide items with clear asks; secretary-treasurers attach financial exhibits; votes and follow-ups stay linked to the meeting record.
How this maps to Prepared today
| What union executive boards need | What Prepared has today | What it does not do |
|---|---|---|
| Board rhythm preset | There is no union board type or preset today. Pick the closest board type at setup (Nonprofit sets a 7-day pack lead time, quorum on directors in office with recused directors excluded, and seconds required) and adjust quorum and pack lead time under Settings | It does not encode your constitution or bylaws |
| Agenda shapes | Pick any agenda template when you schedule a meeting, then edit the items; an agenda item can be an Executive session item | There is no union agenda template; bargaining, organizing, and political items are ordinary agenda items you add |
| Convention, election, and LM report dates | Custom governance-calendar milestones you add, with the gap or task on an action item (owner, due date, closure evidence) | There is no union calendar template, and milestones have no owner field |
| Officer roster | Board memberships with a role, voting status, and term start/end dates; a person's title (president, secretary-treasurer) sits on their profile | Roles are a fixed set (Director, Observer, Guest, Secretary, Chair, CEO, Counsel, Admin, Owner); there is no steward, trustee, or officer-title role per board |
| Confidential bargaining material | Documents set to Executive session are visible to the Chair, Secretary, Directors, Admin, and Owner — not the CEO, Counsel role, or observers — and are held back from magic-link pack views; Counsel-level material is limited to the Chair, Secretary, Counsel, Admin, and Owner | There is no separate bargaining room or negotiator-only wall; access labels do not create legal privilege |
| Bargaining, finance, and trustee committees | Committees (Audit, Compensation, Nominating, or Other) with a charter document; Committee-level material is visible to its members plus the Chair, Secretary, Admin, and Owner | Those board roles can see it, so Prepared does not enforce trustee independence from the executive board |
| Dues, budget, and strike-fund decisions | Decide items with a clear ask, options, and recorded rationale; conflict-of-interest disclosures and recusals on decisions | Prepared computes no financial ratios and holds no ledger; budgets are documents you upload |
| Financial-control follow-ups | Bonding, insurance, and dual-control checks as action items with an owner, a due date, and closure evidence | There is no attestation module for these checks |
| Records members, auditors, and counsel ask for | Full-record export (Chair, Admin, or Owner) of meetings, agenda items, decisions, actions, people, minutes, and the activity log; a board-declared retention schedule (Prepared never auto-deletes) | The export carries document metadata only — file bodies stay in Prepared — and nothing is formatted for the DOL |
| Who opened what | The activity log records pack publish and each time a document is opened in Prepared (document.viewed) | It cannot see forwards, downloads shared outside Prepared, or screenshots |
Membership votes, officer elections, and referendums run outside Prepared. Prepared has no ballot engine, does not count votes, and does not certify an election.
Jobs to be done
President / executive board chair
Keep the board prepared and the meeting decision-shaped. Protect confidential bargaining discussion without starving members of legitimate transparency on finances and elections. Confirm that each convention and election milestone has an owned action item — not “someone will handle it.”
Secretary-treasurer / financial officers
Deliver packs that show dues stewardship clearly: budget vs actuals at board altitude, bonding and dual-control follow-ups, and resolutions that auditors can follow. Keep adopted budgets and financial policies as board documents — not on a personal drive.
Recording secretary / governance staff
Maintain minutes, the membership roster, convention and election milestones, and packs. Set each bargaining document's access level as the book is built, not the night before the meeting.
Executive board officers
Receive the packet early enough to prepare. Know which materials are general board business and which are Executive session. Recuse or disclose where your constitution or conflict policy requires — product reminders help; your rules still govern conduct.
Stewards and workplace representatives (carefully scoped)
Stewards are the workplace face of representation for many members. They are not automatically fiduciary officers of the international or local executive board. Where your organization grants stewards observer access, give them the Observer or Guest role: read-only at Board level, no vote, and no access to Executive session or Counsel material. Grievance case detail often belongs in representation systems, not in the board book.
Members (democratic stakeholders)
Expect fair notice of nominations and elections, accessible financial summaries where the constitution provides them, and confidence that officers are documenting decisions. Prepared has no member portal today, so member notices and membership-meeting materials go out through the channels you already use.
Wedge: executive board pack + roster + access levels
- Stand up the executive board in Prepared and add members with their role and term dates; put constitution-accurate titles (president, secretary-treasurer, vice presidents, trustees) on each person's profile.
- Set bargaining documents to Executive session (or to a Bargaining committee's Committee level) when you upload them.
- Place a budget adoption Decide item on the next agenda with clear options, and put bonding and dual-control checks on action items with owners.
- Add custom calendar milestones for the convention, election windows, and any LM report due date your filers track, and record your board's retention schedule.
- Publish the pack; Executive session documents stay hidden from observers, the CEO and Counsel roles, and magic-link pack views.
Goals to track: follow-ups closed with evidence; convention and election dates on the calendar with owned action items; time to retrieve the last twelve months of minutes and budgets. These are goals for your board, not measured Prepared results.
Member democracy and elections — high-level product support
Unions are democratic organizations. Constitutions typically define who may nominate, who may vote, how notice is given, how tellers or election committees operate, and how challenges are heard. Federal frameworks such as LMRDA set additional expectations for many covered unions regarding equal rights, fair elections, and related safeguards — exact duties depend on coverage, constitution, and counsel.
Prepared Board’s contribution is operational, not adjudicative:
- Custom governance-calendar milestones for notices, nomination windows, teller or election-committee handoffs, and certification dates, with each task on an action item
- Membership term start and end dates, so “who held which seat when” is reconstructable for the executive board
- Executive board decisions about convention arrangements and election rules recorded as Decide items with rationale
- An activity log showing when packs were published and when documents were opened in Prepared
What the product will not do: run a ballot, decide ballot eligibility, certify an election, interpret your constitution’s challenge procedure, or file anything with a government agency. Membership votes and officer elections run outside Prepared; the calendar and action items are evidence of process hygiene your election committee and counsel already run.
Pair democratic rhythms with the same decision OS used for monthly oversight. Annual conventions should not invent a second product metaphor; they should intensify the same pack → decide → minute → archive loop.
Confidential bargaining — access levels, stated plainly
Bargaining mandates, proposal packages, costing models, strike-authorization discussion, and related contingency planning are among the most sensitive materials a union executive board handles. Leaks can harm members’ leverage and erode trust inside the room.
Prepared Board supports:
- Setting a document's access level to Executive session (Chair, Secretary, Directors, Admin, Owner) or Counsel (Chair, Secretary, Counsel, Admin, Owner) when it is uploaded
- A Committee level for a Bargaining committee's material: its members plus the Chair, Secretary, Admin, and Owner
- Executive session agenda items, and magic-link pack views that hold back Executive session and Counsel documents
- An activity log entry each time a document is opened in Prepared
Limits: there is no separate bargaining room, and the Admin role sees Executive session and Counsel material, so give staff who must not see bargaining strategy a narrower role. Draft minutes from the record do not separate open and executive session for you; the secretary writes the executive-session record. Access labels do not create legal privilege.
The product does not tell you whether a topic must be sealed under your constitution, whether a particular caucus is lawful, or how duty-of-fair-representation themes apply to a given strategy choice. Those are legal and representational judgments. When in doubt, involve counsel and your bargaining team before materials circulate broadly.
For general sealed-discussion hygiene patterns (corporate and nonprofit framing), see executive session best practices — and remember that union bargaining confidentiality has its own norms and stakes.
Steward vs officer roles — careful separation
Confusing stewards with executive officers is a common software and org-chart failure:
| Role (typical) | Governance posture | Prepared role today |
|---|---|---|
| Executive officers (e.g., president, secretary-treasurer) | Fiduciary and constitutional duties to the membership as a whole; vote on board Decide items | Chair, Secretary, or Director with a vote; sees Board and Executive session material |
| Trustees / audit committee (where used) | Oversight of financial controls and records | Members of a committee with Committee-level material; no separate trustee role |
| Staff / business agents | Operational execution under officer direction | Admin if they build packs (Admin also sees Executive session and Counsel material), or Observer / Guest for read-only access |
| Stewards | Workplace representation, grievance intake, contract enforcement on the floor | Observer or Guest when invited: read-only at Board level, no vote, no Executive session or Counsel material |
| Members at large | Democratic rights under the constitution | Not in Prepared; no member portal today |
Prepared models this with explicit roles and access levels, not a single “everyone in the local” share link. Your constitution defines who sits on the executive board; the software should not invent seats. Where stewards serve on committees (safety, organizing, political), add them to that committee without upgrading their board role.
Duty of fair representation themes and grievance confidentiality often belong primarily in representation case systems. The board OS should avoid becoming a dumping ground for individual case files that create both privacy risk and board-agenda bloat. Escalate policy and pattern issues to the board; keep named-case detail where your representation process already lives.
Financial controls and dues stewardship
Members fund the union. Executive boards that treat budgets as receive-only slide decks invite trouble. Prepared Board encourages:
- Budget adoption and mid-year revisions as Decide items with options
- Dual-control, bonding, and insurance checks as action items with owners, due dates, and closure evidence
- LM report due dates (where your organization files) as custom calendar milestones with an owned action item — Prepared is not a DOL or LM filing tool; filers and counsel own the filing
- Strike fund and special-assessment decisions with documented rationale
A board-declared retention schedule and the full-record export help secretary-treasurers keep minutes, decisions, and the roster retrievable. That is operational readiness for audits and member inspection rights under your constitution — not automated legal compliance.
Committees: bargaining, organizing, finance, political
Many constitutions establish standing committees — Bargaining, Organizing, Finance, Political/Legislative, and others. In Prepared, each is a committee (type Other unless it is an audit, compensation, or nominating committee) with a charter document and Committee-level material. Committee summaries do not roll into the executive board pack automatically; attach them to the board agenda item. Political contribution and PAC-adjacent workflows (where used) need extra care: treat them as constitution- and counsel-guided processes, not as casual board chat.
Federation-of-locals and council structures: each local or council can be its own board, kept separate. There is no council rollup, shared-template admin, or cross-board reporting today.
Practical pre-meeting checklist
- Roster current (roles and terms right; titles on profiles match the constitution; vacancies noted)
- Bargaining documents set to Executive session, Counsel, or the Bargaining committee's level when uploaded
- Financial Decide items include options; follow-ups sit on action items with owners
- Election / convention milestones on the calendar, each with an owned action item (high-level dates your constitution sets)
- Stewards or other invited guests use the Observer or Guest role — not a director seat
- Executive session documents reviewed by a second pair of eyes before the pack is published
- Prior meeting actions carried forward with owners
- Full-record export tried once (documents export as metadata only)
Why Prepared Board instead of another vault
Encrypted binders store files. Union executive boards need an operating rhythm: prepare materials, decide with a clear ask, keep bargaining material at the right access level, document democratic process, assign owners, and keep a record members and auditors can trust. Prepared Board is opinionated about that rhythm across every board type — including union executive boards.
If you are comparing union executive board tools, ask each vendor who can open a bargaining document, whether staff roles inherit that access, and what their export contains — then check the answers against the product, not the brochure.
