Board governance glossary

Second

Also called: seconding a motion, seconder

Definition

A second is a second director's indication that a motion deserves discussion. Under Robert's Rules a motion without a second usually does not proceed, though many small boards and committees waive the requirement. A second does not mean the seconder supports the motion.

How Prepared Board records it

Recorded in Prepared Board

Each board has a setting for whether seconds are required. A decision records the seconder (who cannot be the mover) or that the second was waived — allowed when the board does not require seconds, or by the Chair or Secretary on a small board. The seconder can be edited or cleared with an acknowledgment.
