Officer election

Also called: electing board officers, officer slate

Definition

An officer election is the board choosing its chair, vice chair, secretary, treasurer, or other officers, usually at the annual meeting from a slate prepared by a nominating or governance committee. Bylaws set the offices, terms, and voting method. The result is recorded in the minutes and in the board's roster.

There is no dedicated election or multi-candidate ballot feature. A board can record each officer election as an ordinary decision with a vote, then change the person's board role (for example Chair or Secretary) through an acknowledged role edit and set term start and end dates. Offices without a built-in role, such as treasurer, are kept as a director title, not a permission role.
