The job to be done

Public and pre-public boards need a citeable decision record — who voted, who recused, whether Audit and Compensation committees have charters on file, whether related-party dealings closed with evidence, and whether the sealed pack was attested — without turning the portal into compliance theater.

Prepared Board is a decision OS, not a SOX engine, not an SEC filing feed, and not an exchange listing opinion.

Not legal advice. Nothing on this page is legal, securities, disclosure, SOX, or exchange-compliance advice. Use Prepared Board as a process and records tool; rely on counsel for legal requirements.

Honest limits: Prepared Board does not connect to EDGAR, does not produce a SOX Section 404 / internal-control opinion, and does not certify NYSE or Nasdaq independence or charter compliance. See /facts.

Why portals still fail late-stage boards

  1. Committees without a charter on file. Investors ask whether Audit and Comp exist and whether a charter document is linked — not whether someone emailed a PDF three years ago.
  2. Related-party dealings buried in minutes prose. Recusals and closure evidence should sit on the decision.
  3. Sealed packs without attestation. Who said this was the book for the meeting?
  4. Annual questionnaires in email. Who still owes an independence / related-party questionnaire should be one list.
  5. Diligence scramble. The decision record should be downloadable on demand, with the limits of that download stated up front.

Who sees what

Confidentiality levels (open, board, committee, executive session, counsel), per-document grants, and per-recipient watermarked magic links you can expire or revoke (there is no device-based access control today). Executive-session materials reach Chair, Secretary, Director, Admin, and Owner; they are hidden from the CEO, the Counsel role, and observers by default, and Executive session and Counsel documents never appear in a magic-link pack view. Observers can read the board book but never vote, certify, or sign, never count toward quorum, and are held back from executive-session and privileged material server-side. There is no separate material non-public information (MNPI) vault, insider list, or trading-window control; use these ordinary levels and grants.

How this maps to Prepared today

What a public or pre-IPO board needsWhat Prepared actually does
A board set up for public-style hygienePick Public Company at onboarding, or apply Public company / reporting board or Pre-IPO / late-stage private board under Settings → Board type preset (Admin, Secretary, Chair, or Owner). Both presets count quorum against authorized seats, count recused directors toward quorum, require seconds, require unanimity for written consent, and use a 7-day pack lead time. Pre-IPO is a Settings preset only; it is not an onboarding choice.
A quarterly agendaPublic company boards default to the Startup quarterly agenda template (9 items, including two Decide items and an executive session). Pre-IPO boards get no default template; pick one when you create the meeting. There is no earnings, 10-K / 10-Q sign-off, or disclosure-committee agenda template.
Annual governance datesPublic and Pre-IPO boards get the general corporate milestone set (external audit kickoff, audit committee report, annual meeting placeholder, strategy offsite, CEO / officer compensation review, budget approval). There is no SEC filing calendar, proxy season calendar, or trading-window calendar. Milestones have no owner field, so create an action item when someone must own a deadline.
Audit and Compensation committeesCommittee records typed Audit, Compensation, Nominating, or Other, with members, charter text, an optional linked charter document, and a board-declared last review date. Board Go soft-cues when there is no Audit committee or when an Audit or Compensation committee has no linked charter document. It does not check independence or financial-expert status.
Related-party dealingsA related-party register at /app/related-party built from the decisions you tag or where a director recused, with approval or closure evidence. Not a fairness opinion or a statutory determination.
Who said this was the bookAfter a pack is sealed, Chair, Secretary, Admin, or Owner can attest it in Prepared. The attestation stores who, when, and a SHA-256 hash of the ordered document ids, titles, and versions; it is not DocuSign, a notary, or a certificate, and the hash does not cover file bytes.
Annual director questionnairesAn optional tracker a Chair, Admin, or Owner enables in Settings: independence affirmation, related-party disclosure, other boards served, litigation knowledge, plus questions the board adds. Submission is an in-app attestation with a timestamp, not a legal independence determination or an insurance application.
Records for auditors, underwriters, or IPO counselChair, Admin, or Owner can download the current board's JSON archive from Trust and a full-record ZIP at /app/export covering every board in the organization where they hold Chair, Admin, or Owner. Both are document metadata only; file bodies are not in the export, so download the files separately.

Stated limits

  • There is no separate public company edition or add-on; Public and Pre-IPO are board type presets with defaults.
  • Prepared does not connect to EDGAR or any SEC filing feed, does not produce a SOX Section 404 or internal-control opinion, and does not certify NYSE or Nasdaq independence or charter compliance.
  • Calendar milestones are board-declared reminders; there is no trading-blackout or insider-trading legal engine.
  • Sign-in today is email and password; passkeys, SSO, and SCIM are not production-live, and there is no bank or BYOK connection. See /facts.
  • Confidentiality levels and the privileged flag control who sees a document in Prepared; they do not create legal privilege. Not legal advice.

Positioned as growth from private / venture boards

Start with Private Company or venture-backed presets. When the board wants public-style hygiene, apply Public / reporting or Pre-IPO under Settings → Board type preset. The same decision record carries over; the preset changes defaults and Board Go emphasis, not your data.

Conclusion

Late-stage and public boards need a decision record investors can cite — committees, related-party, attested packs, questionnaires, and a metadata export — without inventing SOX or EDGAR. Prepared Board is that record. Verify every claim on /facts.
