Unanimous written consent
Also called: written consent, action by written consent, UWC
Definition
Unanimous written consent lets a board act without a meeting when every director entitled to vote signs the same written resolution. Many statutes and bylaws allow it, often requiring unanimity; some allow less. The signed consent is filed with the minutes as the record of the action.
Not legal advice. Bylaws, statutes, and counsel control. Prepared Board does not give statutory opinions.
How Prepared Board records it
Recorded in Prepared Board
A decision can use the unanimous written consent procedure: an officer circulates it, each eligible director signs or declines in the app, and once every signature is in, an officer certifies it as adopted with an acknowledgment. Signatures are in-app records by signed-in members, not a third-party e-signature service, and there is no ASPA written-consent engine. Whether your board may act this way is a bylaws and statute question.
