Quorum
Also called: quorum count, quorum requirement
Definition
Quorum is the minimum number of directors who must be present for a board to act. Bylaws and the governing statute set the number — commonly a majority of authorized seats or of directors in office. Without a quorum, a meeting can usually discuss but not adopt resolutions.

Each board stores quorum settings (authorized seats, quorum base, quorum formula, and how recused directors count). Once attendance is marked Present or Remote, the meeting header shows the seat count against the seats required; with no attendance marked it says the count is not available yet. The line says it is a count, not a legal opinion — it is not a statutory opinion and not ASPA.
