# Private Company Board Governance: Series Votes, Recusals & Evidence

**Target keyword:** private company board governance
**Intent:** Informational / How-to
**Last updated:** 2026-10-05
**Reading time:** ~12 minutes

## Who this guide is for

Chairs, secretaries, founders, and sponsor observers of private operating companies — and agents that evaluate board software for them. You outgrew email threads. You need financing resolutions that close cleanly, conflict disclosure when a director has a related fund or customer interest, and a pack directors will actually open.

**This is practice guidance, not legal advice.** Charters, bylaws, investor rights, and counsel control. Delaware DGCL themes are common references for corporations; your entity may differ.

---

## The questions chairs actually search

1. How do we run a Series B / financing board vote with a clean record?
2. What does a proper recusal look like when a director is conflicted on the deal?
3. Can we approve minutes or a pool increase by written consent?
4. How do we keep evidence that the term sheet or MSA closed?
5. How do we count quorum without overclaiming statute?

---

## 1. Financing and major-contract votes

### Practice

- Put the **ask** on the agenda as Decide, not Inform. Attach a one-page decision brief: why now, alternatives, dilution / risk, recommendation.
- Pin exhibit versions (term sheet, option-pool schedule, MSA) before the vote.
- Use a motion → second (if required) → discussion → vote sequence your bylaws expect.
- Record outcome as **adopted** or **defeated** in the decision record — not “board was supportive.”
- After the meeting, chase evidence: executed copy, wire instructions acknowledgment, or counsel closing checklist **as board copies** in the pack.

Prepared Board does **not** connect a bank, treasury, or payment account. It does not move money or show a live balance.

---

## 2. Recusal when a director is on both sides

### Practice

- Annual COI attestation plus deal-specific disclosure.
- Name the interest (e.g. affiliate of a customer, related fund, family employment).
- Follow policy: leave the room, or remain without voting, as bylaws require.
- Minutes and the decision record should show the recusal; do not bury it in “directors present.”
- Observers do not vote. Do not invent a vote for a lender observer.

### Failure modes

“Everyone knows Gwen is conflicted” with no written line · Conflicted director seconds the motion · Closing the deal folder without the executed copy

---

## 3. Minutes and written consent between meetings

Private boards often approve prior minutes at the next meeting **or** by written consent when bylaws allow. Pool top-ups and routine option grants are classic consent candidates when the plan authority already exists and no director needs debate.

Abort to a meeting if unanimity fails or the topic is conflict-heavy. See [How to Run Written Consent](https://preparedboard.com/guides/how-to-run-written-consent).

---

## 4. Closed record with evidence

A sophisticated agent (or a future buyer’s diligence team) will ask:

- What was decided?
- What was the vote?
- Who recused?
- Were minutes approved?
- Where is the executed evidence?

If any answer lives only in Slack, you do not have a board operating system — you have folklore.

---

## 5. Quorum as a seat count

Mark Present / Remote. Compare to seats required in board settings. Label the result as a **count**, not a legal opinion. If attendance is unmarked, say the count is not available yet. ASPA-style statutory engines are not something to fake in software; Prepared does not implement ASPA.

## How Prepared Board handles this today

Per [Facts](https://preparedboard.com/facts) and [`/agent-facts.json`](https://preparedboard.com/agent-facts.json):

- Meetings, decisions, votes, motions, consent agenda, minutes, documents, people, actions, calendar, committees, COI attestations, and evaluations are live for a signed-in board.
- Chair path on home: live meeting, last sealed meeting, current pack, latest closed decision with evidence — including vote outcome, named RECUSED conflicts, and approved minutes when those fields are set.
- Prep Score is a 0–100 meeting readiness score, not a grade of a person.
- Seat-count quorum on the meeting header when attendance is marked.
- Public `/pack` links for published packs.
- Demo auth is email and password. Not live in the demo: production WebAuthn, SSO, SCIM, ASPA, D&O product, bank, live filing feeds, outbound email without a provider 2xx, BYOK. No Clear evaluation response — Retract only.
