# Portfolio Governance Oversight: What Crosses Boards and What Stays on Each Board

## Who this guide is for

Investor directors, fund partners, LPAC members, parent-organization sponsors, and chairs who sit on more than one board. You want one place to answer **"across my boards, what is overdue, what is owed, and where should I follow up?"** without turning several separate boards into one blended record.

**This is practice guidance, not legal advice.** What you may see on each board depends on your seat, your agreements (investor rights agreement, observer letter, LPA, side letter), each board's own policies, and counsel. Nothing here changes what any board must share with you.

## The tension in portfolio oversight

A sponsor's job is to notice patterns across companies: three boards with minutes unapproved, two with D&O renewals coming up, one with a conflict nobody recorded. Each board's job is to keep its own record — its own deliberations, privileged material, votes, and people — inside that board.

Oversight goes wrong in two directions:

- **Too little:** the sponsor only hears what each CEO chooses to put in a quarterly email, and finds gaps in diligence.
- **Too much:** a "portfolio dashboard" copies board books, director names, and privileged memos into one place the sponsor's whole firm can browse, or reduces each board to a single "governance score" that nobody on the board agreed to.

The workable middle is narrow and specific: **status crosses boards; the record stays on each board.**

## Three rules for oversight across boards

1. **Only boards you actually sit on.** A cross-board view should cover boards where you hold an active seat or role — not every company your firm invested in. Boards you do not sit on are not queried at all. If a board wants you to see its proof without a seat, its chair shares that explicitly.
2. **Your seat on each board decides what you see there.** A chair or secretary on one board can see who owes a questionnaire; an observer or advisor on another board should see the same section say the detail is not visible to their role — not an empty list that looks like "nothing owed."
3. **Status, never a score.** Counts, dates, and follow-up items help you ask better questions. A computed grade or a ranking of boards invents a judgment the boards never made, and it travels badly — into LP letters, into diligence, into disputes.

The right test for any line on a portfolio view: **could you already see this on that board, in that seat?** If yes, it can appear in the rollup. If no, the rollup should say so plainly.

## A quarterly oversight routine

1. **Scan, don't read.** Start with the list of cross-board sections and look for non-zero counts and near dates — not for a number that sums everything up.
2. **Follow the link to the board.** Every follow-up should take you to that board's own page, where the board's rules apply.
3. **Ask the chair, not the system.** "I see two directors still owe the conflict attestation — is that on your list?" is a sponsor question. Unless you hold the chair or secretary seat on that board, route the follow-up through them.
4. **Respect "Not visible."** If your role on a board cannot see a section's detail, that is the board's rule working. Ask the chair for a shared proof if you need more.
5. **Keep your own note.** Paste the status into your own assistant or notes for the quarterly letter. Do not re-share board detail beyond what your agreements allow.

## How Prepared Board shows it today

**Section index.** At the top, [the section index](https://preparedboard.com/app/portfolio#portfolio-status-index) lists every cross-board section rendered for you, in page order, under the badge **"your view only · no score or ranking"** — 34 sections in the Northlight demo as of this writing, from minutes awaiting approval and director questionnaires still owing to D&O binder status, reserved matters, policy acknowledgment gaps, risk registers, attendance, indemnification, and document retention. The page says it plainly: most are counts; some list names or titles on boards where your role can follow up.

**Per board, per role.** Each section lists your role on each board. Where your role cannot open that board's detail, the section says **"Not visible to your role on this board."** — it never invents who owes. Several sections also state what never leaves the board: for example, reserved-matter titles, notes, decision titles, and evidence; committee names, members, and charter text; and incoming director names and notes.

**Decision digest and morning brief.** The cross-board decision digest (last 30 or 90 days, or since each board's last meeting) and the [morning brief](https://preparedboard.com/app/portfolio/brief) order individual follow-up items across your boards — a missing closure-evidence receipt, an attestation owed, a monitor coming due. They order items to look at; they do not score or rank boards.

**Hand it to your agent.** **Copy all portfolio status for your agent (.md)** joins each section's own copy in page order — "the same counts, names, and titles each section already shows you, nothing more." Prepared sends nothing; you paste it where you choose.

**Boards you do not sit on.** If a board's Chair, Admin, or Owner grants you a chair-granted sponsor proof share, a **Shared with you** card appears on the portfolio page: read-only Board decision quality proof, "Not a board seat," with no board book, no privileged or executive-session material, and no individual votes. Honest limits:

- **No cross-board score, grade, rating, or ranking of boards.** Prepared counts what each board recorded.
- **Only boards where you hold an ACTIVE membership** (plus explicit sponsor shares). Other organizations are never queried and nothing is merged across organizations.
- **Board-declared data.** Dates, policies, and statuses are what each board entered. Prepared does not verify coverage, file anything, or decide whether a consent or policy was required.
- **Nothing is sent.** Copy buttons produce text for you to paste; there is no outbound email from this view.
- **Demo sign-in is email and password.** SSO and passkeys are not production-live.
