# How to Run a Board Consent Agenda Without Hiding a Conflict

## What a consent agenda is

A consent agenda bundles routine, non-controversial items into **one motion and one vote**. Typical items: prior minutes, routine reports already in the pack, standard renewals, committee appointments the board has already discussed, and gifts that fit an adopted gift policy.

It works only if:

- Every item and its material are **in the pack ahead of the meeting**.
- **Any director can pull any item** to the regular agenda before the consent vote, no reason required. Under common practice, one request is enough.
- The minutes list each item adopted under the consent motion.

## The procedure

1. **Draft the list with the secretary.** Only items with no expected debate and no open question.
2. **Publish it in the pack** with each item’s resolution text and backup.
3. **Flag conflicts before the meeting.** If any director has a disclosed interest in a consent item, decide in advance: pull it to the regular agenda, or keep it on consent with that director’s recusal recorded.
4. **At the meeting, the chair asks:** “Does any director wish to remove an item from the consent agenda?”
5. **Move pulled items** to the regular agenda, usually right after the consent vote.
6. **Take one motion, one second, one vote** on what remains.
7. **Record each item in the minutes,** including any recusal from the consent vote and any item that was pulled.

### What does not belong on consent

- Anything a director has asked to discuss.
- First-time policies or large spending not already reviewed.
- Items where the right answer is still unclear.
- Conflict items, unless the recusal is recorded with the same care as on the regular agenda.

### Failure modes

- Burying a contested item in the bundle.
- A conflicted director voting yes on the bundle without a recorded recusal.
- Backup material missing from the pack.
- Minutes that say “consent agenda approved” with no item list.

What the seeded record shows:

- *Accept the anonymous local-history collection gift* is on the fall consent agenda and has **not** been adopted yet.
- The gift comes through the Kittery Historical Society. Greta Holm is a volunteer officer there. Her conflict on this item is stored as **disclosed**, with a note that she will recuse before the consent vote.
- The box list is in the fall pack, so every trustee can read it before deciding whether to pull the item.

This is exactly the call the procedure above asks the chair to make: keep the gift on consent with Greta Holm’s recusal recorded, or pull it to the regular agenda. Either is defensible if the minutes show it.

A second example: **Piscataqua Harbor Trust** (`a sample board (see /sample-decision)`, [`/sample-decision`](https://preparedboard.com/sample-decision)) has the Whittier Family restricted gift on its fall consent agenda, also not yet adopted.
