# How to Count Quorum at a Board Meeting (a Seat Count, Not a Legal Opinion)

**This is practice guidance, not legal advice.** Quorum is set by your statute, articles, and bylaws. Whether remote attendance counts, whether a recused director counts, and what happens when quorum is lost all vary. A count is not a legal opinion; counsel gives opinions.

## The three numbers

1. **The base.** Your bylaws define quorum against a base — commonly the number of directors **in office**, or the number of **authorized seats** (the fixed board size). With vacancies, these differ. A seven-seat board with two vacancies has five in office.
2. **The formula.** Commonly a **majority** of the base, sometimes a fixed number or a fraction set in the bylaws. Many statutes set a floor.
3. **The count.** Voting directors present — in the room, or remote if your statute and bylaws allow remote participation (often only where everyone can hear each other at the same time).

**Seats required** = the formula applied to the base. Quorum is met when the count is at least that number.

## The procedure

1. **Before the meeting:** write down the base and seats required. Know your vacancies.
2. **At call to order:** mark each voting director Present, Remote, or Absent. Do not count from the RSVP list.
3. **Exclude non-voters.** Staff, observers, ex officio non-voting members, and guests do not count unless your bylaws say they do.
4. **Say it out loud and record it:** “Seat count met: 4 of 3 required.”
5. **Re-count when someone leaves.** Many bylaws require quorum at the time of each vote, not only at call to order.
6. **Recusals:** whether a present but recused director counts toward quorum depends on your statute and bylaws. Know before a conflict item.
7. **If there is no attendance yet, say so.** “Not available yet” is honest. “Not met” is a different claim.

- Counting staff or guests.
- Using the invite list as attendance.
- Using authorized seats when the bylaws say directors in office (or the reverse).
- Voting after a director leaves and quorum quietly drops.
- Calling a seat count a legal determination.

Two details worth noticing:

- In the spring, Nora Kimball, the staff stewardship director, was in the room but holds no voting seat. The count is 4, not 5.
- In the fall, the secretary joined by phone and is counted as Remote. Two trustees are marked absent, and the count still meets 3.
