# Board Skills Matrix: How to Build One, Find Gaps, and Recruit Against Them

## Who this guide is for

Chairs, nominating and governance committee members, board secretaries, and investor directors who need to answer one question with evidence: **"Does this board have the skills its strategy needs — and if not, what is it doing about it?"**

**This is practice guidance, not legal advice.** Independence under exchange listing rules, tax-exempt rules, or your bylaws is a legal determination that depends on facts and definitions a skills matrix does not capture. Ask counsel. A skills matrix is a planning tool, not a compliance finding.

## What a skills matrix is (and is not)

A board skills matrix is a grid: the skills the board has decided it needs across the top, the directors down the side, and a mark where a director brings that skill. Most boards add two more columns — an **independence category** and the director's **class or term** — because composition questions are rarely only about skills.

It is useful for three things:

1. **Seeing gaps.** A skill with zero directors is a visible gap, not a vague feeling that "we could use someone in cyber."
2. **Planning succession.** Term and class columns show when coverage will walk out the door.
3. **Recruiting with a brief.** A nominating search that starts from a named gap produces a better candidate brief than one that starts from "who do we know?"

It is **not** a performance review, not an HR competency assessment, and not proof that any director is independent. Treat every mark as what the board recorded.

## How to build one in five steps

1. **Start from strategy, not résumés.** List the five to eight skills the next three years actually require. A venture-backed company might pick finance, cyber, industry or product, PE / VC, corporate governance, and go-to-market. A nonprofit might pick finance, fundraising, program or mission, legal or governance, and community relations. Fewer, sharper skills beat a 30-column wish list.
2. **Let directors self-tag, then have the chair review.** Self-assessment gets the data in quickly; a chair or nominating committee review keeps it honest.
3. **Record an independence category separately.** Independent, investor-affiliated, management, other. Keep the label as what the board declared — the legal test lives elsewhere.
4. **Add class or term.** A skill held by one director whose term ends next year is a near-term gap.
5. **Revisit it annually** — alongside the [board self-evaluation](https://preparedboard.com/guides/board-evaluation-self-assessment) and the director questionnaire — and whenever a director joins or leaves.

## Reading the matrix: what investors and nominating committees look for

| What is the independence mix? | Counts by board-declared category, not a legal opinion |

| What happens next? | An open seat or search tied to the gap, with a decision on the record when the board votes |

Two mistakes show up again and again: counting an **observer's** skills as board coverage, and finding a gap but never opening a search for it, so the same gap appears in next year's matrix.

## From gap to search

A gap is only useful if it changes who the board recruits. Write the seat need in terms of the gap ("Independent director — cyber / information security"), track candidates through simple stages, ask every candidate the same conflict and independence questions, and close the search with a board vote recorded like any other decision. ## How Prepared Board handles this today

**Skills & composition matrix.** [/app/skills-matrix](https://preparedboard.com/app/skills-matrix) shows the board-declared taxonomy across the top and each ACTIVE director's skills, independence category (Independent / Investor / Management / Other), and class / term. The **Composition summary** lists **Skill gaps (zero directors)**, and each uncovered column reads "Gap — zero ACTIVE directors". Observers can be shown when the board chooses, labeled as observers and not counted in coverage. Chair, Secretary, Admin, or Owner see the full matrix; directors see and edit their own row.

**Taxonomy in Settings.** Chair, Admin, or Owner declare the skills in [Settings](https://preparedboard.com/app/settings) under the skill taxonomy section, starting from a template by board type (venture-backed, LPAC, nonprofit, chamber, library or school, and others) and editing from there.

**Board Go cue.** When a taxonomy exists and at least one skill has zero directors, Board Go on the board home shows a soft cue — **"Skill gap: zero directors"** (or the count when there are several) — that links to the matrix and says it is not a regulatory finding.

**From gap to search.** The board member search tracker at [/app/board-search](https://preparedboard.com/app/board-search) ties a seat need to skills-matrix gaps, tracks candidates through stages (Sourced, Screening, Interview, Reference, Board vote, Selected, Withdrawn), keeps conflict and independence prompts and an interview question bank, and links the decision record when the board votes.

**Where it shows up.** A composition strip (skill gap count and independence mix) appears on [board proof](https://preparedboard.com/app/board-proof) and in the [diligence snapshot](https://preparedboard.com/app/diligence). Investor directors and sponsors see skill gap names per board on [/app/portfolio](https://preparedboard.com/app/portfolio) — only for boards where they hold an ACTIVE membership and their role can open the full matrix; otherwise the section says "Not visible to your role on this board."

Honest limits:

- **Board-declared composition only.** Prepared does not certify independence under exchange rules or nonprofit statutes and gives no independence opinion.
- **Not an HR assessment.** No proficiency scoring, no ranking of directors, no score for the board.
- **A gap is not a finding.** "Gap" means zero ACTIVE directors tagged with that skill — not that the board is noncompliant.
- **No outreach.** The search tracker does no scraping, no LinkedIn import, no background checks, and sends no email. Nothing is sent.
